By accessing or using ScribeSEO AI ("the Service"), you agree to comply with and be bound by these Terms of Service ("Terms"). If you do not agree with any part of these Terms, you must not access the Service.

These Terms constitute a legally binding agreement between you ("User," "You," or "Your") and ScribeSEO AI ("Company," "We," "Us," or "Our"). Your continued use of the Service constitutes acceptance of any updates or modifications to these Terms.

2. Description of Service

ScribeSEO AI provides an AI-powered search engine optimization (SEO) automation platform designed for e-commerce merchants. The Service includes, but is not limited to, AI content generation, keyword research, rank tracking, competitor gap analysis, and SEO auditing.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with reasonable notice to paid subscribers. Free-tier users acknowledge that Service availability may be limited and subject to change without prior notice.

3. User Accounts & Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

We employ industry-standard security measures, including encryption at rest and in transit, regular third-party security audits, and SOC 2-aligned controls. However, no method of electronic storage or transmission is 100% secure, and we cannot guarantee absolute security.

4. Subscription & Billing

Paid subscriptions are billed in advance on a monthly or annual basis, depending on your selected plan. All payments are processed securely through LemonSqueezy, our PCI-compliant payment processor.

Subscriptions auto-renew unless cancelled before the renewal date. You may cancel at any time; access continues until the end of your current billing period. Refunds are handled in accordance with our 30-day money-back guarantee for paid plans.

5. Intellectual Property

Content generated by the Service for your account is owned by you. You retain all intellectual property rights to the AI-generated content produced using our platform. We claim no ownership over your product descriptions, metadata, or SEO optimizations.

The Service itself, including its proprietary algorithms, software architecture, dashboards, and underlying technology, is the exclusive property of ScribeSEO AI and is protected by applicable intellectual property laws.

6. Acceptable Use & Fair Usage

You agree not to use the Service for any unlawful purpose or in violation of any applicable laws or regulations. You shall not attempt to reverse-engineer, decompile, or extract the source code of the Service. Automated scraping of the Service via bots or scripts is strictly prohibited.

Fair usage policies apply to all subscription tiers. Excessive API calls, bulk operations beyond stated limits, or patterns indicating systematic abuse may result in rate-limiting or account review. We reserve the right to suspend access for violations of these policies.

7. Limitation of Liability

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We make no guarantee that the Service will meet your specific SEO requirements or that it will operate uninterrupted or error-free.

In no event shall ScribeSEO AI be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, profits, data, or business opportunities arising from your use of or inability to use the Service, even if we have been advised of the possibility of such damages.

8. Data Deletion & Account Termination

Upon account termination, you may request permanent deletion of your data by contacting our support team. We will delete your personal data within 30 days of request, subject to legal retention requirements (e.g., tax records for paid subscriptions).

We reserve the right to terminate or suspend accounts for violations of these Terms, including but not limited to fraudulent activity, abuse of the Service, or non-payment. Terminated accounts forfeit remaining credits and access.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts of Delaware.

You agree to first attempt informal resolution of any dispute by contacting us directly. If resolution cannot be reached within 30 days, the dispute shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
